By accessing or using Growmiz ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

Acceptance of Terms

By creating an account or using the Platform, you confirm that you have read, understood, and agree to these Terms. If you are using the Platform on behalf of a business, you represent that you have the authority to bind that business.

Account Registration and Security

You are responsible for:

Providing accurate, current, and complete registration information
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorised use of your account

Use of the Platform

You may use the Platform to build and manage websites and online stores for lawful business purposes. You agree not to:

Use the Platform for any illegal or unauthorised purpose
Violate any applicable laws or regulations
Infringe upon the rights of others
Distribute malware, viruses, or other harmful code
Engage in any activity that interferes with the Platform's operation
Create websites promoting hate speech, violence, or illegal activities

User Content

You retain all intellectual property rights to the content you create using our Platform. By submitting content, you grant Growmiz a non-exclusive, worldwide, royalty-free licence to host, store, and display your content as necessary to provide our services.

You represent and warrant that your content does not violate any third-party rights or applicable laws.

Payment Terms

Our services are offered on a subscription basis. By subscribing, you agree to pay the applicable fees as per the billing cycle you select. Payments are processed securely through Razorpay. All prices are in Indian Rupees (INR) and inclusive of applicable taxes.

Failure to pay may result in suspension or termination of your account.

Cancellation and Refund

You may cancel your subscription at any time. Your website will remain active until the end of your current billing period. Refunds are governed by our Refund Policy, which offers a 7-day money-back guarantee on initial purchases.

Intellectual Property

The Growmiz platform, including its code, design, logos, and branding, is owned by Growmiz and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written consent.

Limitation of Liability

To the maximum extent permitted by law, Growmiz shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claims shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Aahar Trading Co, a partnership firm, its affiliates, and employees from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

Prohibited Uses & Restricted Content

You may NOT use the Platform to list, sell, promote, or facilitate the sale of:

Tobacco, gutka, or any tobacco/nicotine products
Alcohol or alcoholic beverages
Firearms, ammunition, explosives, or weapons of any kind
Prescription drugs, pharmaceuticals, or controlled substances without a valid, verifiable license under Indian law
Wildlife, wildlife products, or any item restricted under the Wildlife Protection Act, 1972
Counterfeit, replica, or pirated goods infringing third-party intellectual property
Gambling, betting, lottery, or games of chance involving real-money stakes
Adult content, sexually explicit material, or escort/adult services
Any product or service that is illegal, restricted, or requires a license you do not hold, under the laws of India or any jurisdiction you operate in
Multi-level marketing / pyramid schemes
Any content promoting hate speech, violence, terrorism, or discrimination

This list is illustrative, not exhaustive. Growmiz reserves sole discretion to determine whether content or products violate this section.

Platform Role & No Marketplace Liability

Growmiz is a software-as-a-service ("SaaS") website and store-building tool. Growmiz is NOT a party to any transaction between you (the "Merchant") and your customers. Growmiz does not manufacture, sell, ship, inspect, or take possession of any product listed on a Merchant's site. All payment gateway credentials, shipping arrangements, and order fulfillment are configured and controlled solely by the Merchant using their own third-party accounts (e.g., their own Razorpay, Shiprocket, or Delhivery credentials).

Growmiz bears no responsibility or liability for:

The quality, safety, legality, or delivery of any product or service listed on a Merchant's site
Any dispute between a Merchant and their customer, including non-delivery, defective products, refund disputes, or fraud
Any Merchant's non-compliance with applicable consumer protection, GST, FSSAI, BIS, or other regulatory requirements

Merchants are solely and fully responsible for complying with all applicable laws, including the Consumer Protection (E-Commerce) Rules, 2020, where applicable to their business.

Enforcement: Suspension, Deletion & Forfeiture

If Growmiz determines, in its sole discretion, that you have violated these Terms — including but not limited to listing prohibited items (see above), receiving verified complaints of fraud or non-delivery from your customers, or engaging in any unlawful activity — Growmiz may, without prior notice and without liability:

(a) Suspend your site(s), rendering them inaccessible to the public, while preserving your account data for record-keeping and potential legal process;
(b) Permanently delete your site(s) and/or account;
(c) Retain all fees already paid, with NO refund of any kind, including under the 7-day money-back guarantee described in the Refund Policy, which is expressly conditioned on your continued compliance with these Terms;
(d) Bar you from creating a new account or site on the Platform for the same or related purpose.

You agree that such action does not entitle you to any refund, compensation, or damages, and you waive, to the maximum extent permitted by law, any claim against Growmiz arising from such suspension, deletion, or forfeiture. Nothing in this clause limits any statutory right you may have to approach a consumer forum or court of competent jurisdiction; however, you agree that any such dispute shall be subject to the Governing Law and Dispute Resolution clauses below.

Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by Growmiz, seated in Indore, Madhya Pradesh, India, and conducted in English. This clause does not preclude either party from seeking urgent injunctive relief from a court of competent jurisdiction.

Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Continued use after changes constitutes acceptance of the new Terms.
